PUBLIC SERVICE AGREEMENT (OFFER) for Squidprice service
1. General Provisions
1.1. This document is a public offer (hereinafter – the “Agreement”) that defines the terms of providing and using the Squidprice service (hereinafter – the “Service”), available at https://app.squidprice.com/.
1.2. The Agreement is concluded between the Service Provider and any legally capable individual or legal entity that accepts the terms of this Agreement (hereinafter – the “Client”).
1.3. In accordance with Articles 633, 641, 642 of the Civil Code of Ukraine, this Agreement is a public adhesion contract, the terms of which are identical for all Clients and may only be accepted by complete and unconditional agreement.
1.4. Acceptance of this offer is any action of the Client indicating agreement with the terms of the Agreement, including registration of an account and/or payment for services. In case of disagreement with the terms, access and use of the Service must be terminated.
2. Terms and Definitions
Service – a web resource located at https://squidprice.com/, including all web pages, subdomains, and related content administered by the Service Provider.
Client – an individual or legal entity that obtains access to the Service.
Content – any materials available on the Website, including texts, images, graphics, videos, audio, software code, and other intellectual property.
Personal Account – a restricted section of the Website available after authorization, containing individual settings, data, and tools for the User.
Token – a unit used to account for Service operations, deducted according to the selected tariff. The number of tokens corresponds to the complexity of the action performed (e.g., adding one product costs 1 token; finding competitors for one product costs 3 tokens; scanning a product for updates costs 1 token).
The token price is based on the rate: 1 USD = 500 tokens, unless otherwise agreed individually between the Provider and the Client.

Client: any individual or legal entity that accepts the terms of this Agreement.
4. Service Description
3.1. The Service is intended for monitoring prices and product availability in online stores, analyzing competition, providing API access, and generating reports.
3.2. The main modules of the Service are:
- Price parsing;
- Analytics;
- API access;
- Reports.
3.3. There are no restrictions on the subject of monitoring unless required by Ukrainian law.
5. Registration and Access
4.1. The Service can be used only after mandatory account registration.
4.2. During registration, the Client provides accurate data as defined in the Privacy Policy: email, phone number, login details, and optionally messenger identifiers.
4.3. Email and/or phone number verification is mandatory.
4.4. Use of the Service without registration is not permitted.
6. Intellectual Property Rights
All content of the Service is owned by the Provider or used legally.
Use of materials is permitted only for personal, non-commercial purposes with mandatory attribution. Any other use without written consent is prohibited.
7. Tariffs and Payment
5.1. Payments for services are made in tokens or as a fixed subscription fee based on agreed limits (e.g., number of products, number of competitors, frequency of updates).
5.2. Each operation has its token cost displayed before execution unless covered by a fixed subscription.
5.3. Payments are made via bank transfer or integrated payment systems.
5.4. Refunds are governed by the Website's Public Offer Agreement.
5.5. Auto-renewal functionality will be added later; the Client may cancel renewal at any time before the next billing period.
8. Provision of Services
6.1. Services begin once payment is credited to the Provider’s account (except demo access).
6.2. Service results are provided in the form of reports in the Personal Account and/or email depending on the tariff.
6.3. The fact of service provision is recorded by token deduction or execution of tariff-based operations.
9. Rights and Obligations of the Parties
The Provider has the right to modify the Service; suspend or restrict Client access for Agreement violations; and change tariffs with prior notice. The Provider must provide services within the chosen tariff; ensure data protection; and fix technical issues. The Client has the right to access the Service according to the tariff; and contact support. The Client must comply with this Agreement and the law; not share login credentials; and pay for services on time.
10. Liability
8.1. The Provider does not guarantee accuracy of data, uninterrupted operation, or compatibility with the Client’s equipment.
8.2. The Provider is not liable for interruptions caused by third parties or external services.
11. Force Majeure
The Parties are released from liability for non-performance if caused by force majeure circumstances occurring after the conclusion of the Agreement, including natural disasters, war, epidemics, or technical failures of the Internet.
12. Personal Data
Personal data is processed according to the Privacy Policy published on the Website.
Use of the Service constitutes consent to the collection, storage, use, and transfer of personal data as required by law.
13. Amendments to the Agreement
The Provider notifies the Client of changes via email. Amendments take effect on the date specified in the notice.
14. Termination of the Agreement
12.1. The Client may discontinue use by notifying the Provider in writing or by simply not paying for the next period.
12.2. The Client may request deletion of their account and/or personal data via email or messengers used during registration.
12.3. Upon termination, unused tokens are void and prepaid funds are non-refundable.
